About the Role

The role reports directly to the Chief Strategy Officer & Chief of Staff. This role is pivotal in driving the company's corporate planning processes and overseeing the implementation of key corporate strategic and innovation initiatives. The incumbent will play a critical role in helping FundPark achieve its long-term business vision through meticulous planning, execution, and collaboration with senior stakeholders and external partners.

We are seeking a highly skilled and experienced Legal Counsel to oversee all legal matters and ensure compliance with the legal updates and obligations of a listed company. The ideal candidate will have extensive experience in dealing with the legal requirements of a publicly traded company, preferably on NASDAQ, and possess a deep understanding of corporate law, securities regulation, and corporate governance. Less experienced candidates would be considered for the Senior Legal Counsel role.

Key Responsibilities:

• Provide legal advice and support on a wide range of corporate, securities, and regulatory matters related to the company’s status as a NASDAQ-listed entity.
• Ensure compliance with all applicable securities laws, regulations, and reporting requirements, including the Sarbanes-Oxley Act, SEC filings, and NASDAQ listing rules.

• A minimum of 10 years of legal experience, with at least 3 years of experience in a publicly traded company, preferably on NASDAQ or NYSE.
• In-depth knowledge of securities laws, corporate governance, and regulatory compliance.
• Proven experience in preparing and submitting exchange filings and reports, especially SEC filings and reports.
• Strong understanding of corporate transactions, including mergers and acquisitions, financings, and other strategic initiatives.

The Lead Counsel 2 is a senior level position responsible for providing legal counsel and support to aligned countries/geographies of responsibility. The overall objective of this role is to provide legal support, advice, and guidance across a broad range of practice areas, with respect to the local laws and regulations of the country or countries for which the Country General Counsel Group Manager is responsible.

This role is responsible for providing guidance, support, and legal advice on Citi's businesses and functions in COUNTRY/GEOGRAPHY. The Senior Lead Counsel 1 is a senior level position responsible for providing legal counsel and support to aligned countries/geographies of responsibility. Roles and Responsibilities:

Effective implementation of AML and Economic Sanctions compliance program

• To implement AML and Economic Sanctions Guidelines and programs, including but not limited to embedding compliance requirement in day-to-day operations of business.
• To develop and implement a risk-based assurance and monitoring program to ensure the compliance of the respective AML requirement.
• To implement the group-wide monitoring system on AML and Economic Sanctions in accordance with Group Compliance direction.
• To enhance compliance monitoring programs and investigation in relation AML requirements.
• To work with respective business collaborators effectively implementing AML source of wealth assessment.
• Training and communication of compliance policies and procedures.
• Support and coordinate with regulators on their regulatory inspection visits on AML Compliance.

• Maintain consistent local compliance policies and procedures which are aligned with Group Compliance policies and guidelines.
• Implement a risk based local assurance and monitoring programme which is expressly designed to assess compliance with AIA Group as well as local regulatory standards.

Engagement with Business Units collaborators to ensure compliance risk is embedded into business decision

• Coordinate AML Committee (including first line and second line people) with regular meeting as an engagement platform to discuss various tasks and improvements in company AML program.
• Enhance engagement with business units to provide advice and solutions to lead compliance and regulatory risks in areas acting as SME in order to support quality business growth. Maintains relationships with a network of diverse contacts.
• Raises awareness of the business units concerning the three-line of defense risk management model.

Minimum Job Requirements:

• Bachelor’s degree in Accounting, Finance, Information Technology, Law or Business or equivalent with a minimum of 6 years proven working experience in the financial services industry focused on compliance, risk management, legal and/ or internal controls.
• Professional qualification in life insurance, Compliance, Internal Audit, IT Audit or related disciplines is preferred.
• In-depth understanding of the Insurance business is preferred.
• Have hands-on experience to data analytics and data extraction tools.
• Good interpersonal and communication skills and self-motivated.
• Good written and spoken communication skills in English and Chinese.
• Independent and be able to work under pressure.
• Be organized, meticulous with good problem solving skills.
• High level of integrity and take ownership and accountability of results.

About the Role

Internship Period: 11 June 2024 to 16 August 2024

The purpose of our 10-weeks programme is to provide students, who are passionate in Insurance industry, the opportunity to understand our business through hands-on work experience, projects and programme activities.

What you will learn and develop:

Depending on the suitable development opportunities in Group Corporate Development

 In the Insurance Team, you may be involved in:

• Supporting market research to enrich our market intelligence, as well as database management on a regular basis (e.g. competitor tracking)
• Supporting company profiling as part of the initial opportunities exploration
• Conduct system UAT for upgrades or semi-automated solutions as part of the revamped ways of working within the team

In the Healthcare Team, you may be involved in:

• Mapping private equity health portfolios and conducting desktop research and market scanning during the initial opportunities exploration phase
• Supporting presentations to management team with clear and concise messaging

In the Wealth & Asset Management Team, you may be involved in:

• Support in the overall M&A process for the wealth and asset management sector including origination, assessment and execution of transactions
• Focusing on research, market scanning and tracking of M&A targets and competitor activity
• Analytical support in identifying transaction rationale and building appropriate transaction thesis for internal discussions and external negotiation

What you will need:

• Students from all background and field of study who are in your penultimate year of study

• Ability to multi-task, quick to adapt and able to work in fast paced work environment
• Strong command of written and spoken English and Chinese
• Strong digital literacy required, proficient in Microsoft Office
